How to use this template
- Federal rules require an authorized agent to hold a power of attorney or written authorization from the exporter before filing for it (15 CFR 30.3(c) and (f)). This is a template for that document. It is not legal advice, and you may want your own counsel to review it.
- It covers standard export transactions in which you are the U.S. principal party in interest (USPPI). It does not cover routed export transactions, where your foreign buyer authorizes the agent.
- Anyone who can bind your company can sign. Use your company's legal name and EIN exactly as they appear on your tax records.
Power of attorney and written authorization to file Electronic Export Information
1. The parties
Principal (the USPPI). Legal name , EIN , address .
Agent. Compliance Grid, LLC, EIN 41-4608084, 380 Guildhall Grv, Alpharetta, GA 30022, United States.
2. Appointment
The Principal appoints the Agent as its true and lawful agent for purposes of creating and filing Electronic Export Information (EEI) in the Automated Export System (AES) in accordance with the laws and regulations of the United States, including the Foreign Trade Regulations (15 CFR Part 30), for export transactions in which the Principal is the USPPI.
3. What the Agent may do
- Prepare EEI from the information the Principal provides.
- File that EEI in AES, through AESDirect or another means CBP and the Census Bureau permit, and replace, change or cancel a filing when the Principal asks or a correction is needed.
- Receive the Internal Transaction Number (ITN) and AES's responses and pass them to the Principal.
- Answer questions from the Census Bureau, U.S. Customs and Border Protection, the Bureau of Industry and Security and other agencies about those filings, and give them records on request.
4. The Principal's responsibilities
- Give the Agent accurate, complete and timely information for every filing: the parties, goods descriptions, Schedule B or HTS numbers, values, quantities, weights, country of destination, mode of transport, dates, and any license, license exception and ECCN details.
- Decide how its goods are classified and whether a license or license exception applies, and obtain any license required. The Agent does not make those determinations for the Principal.
- Give the information early enough for the Agent to file before the deadline that applies to the shipment, and tell the Agent at once about any change or error.
- Keep the documents that support the information it gave the Agent for five years from the date of export (15 CFR 30.10), or longer where another agency requires it.
- Not ask the Agent to file anything the Principal knows or believes to be false or incomplete.
5. The Agent's responsibilities
- Prepare and file the EEI accurately and on time, based on the information it receives from the Principal and other parties to the transaction.
- Keep documentation supporting what it reported to AES for five years from the date of export (15 CFR 30.10).
- On request, give the Principal a copy of the export information it filed, in a format they agree.
- Keep the EEI confidential and not disclose it to a foreign person or foreign government (15 CFR 30.60(c)(4)).
- Prepare and file from within the United States.
- Decline to file, and tell the Principal why, where the information appears incomplete or inaccurate, or where filing would break the law.
6. Reliance
The Agent may rely on the information the Principal and other parties give it. The Principal stays responsible for the accuracy of the information it provides.
7. What this does not do
This authorization does not make the Agent a USPPI or a principal party in interest. It does not cover routed export transactions. It does not cover items on the U.S. Munitions List unless the Principal and the Agent agree in writing.
8. Term and revocation
This authorization starts on and continues until (leave blank if it should continue until revoked). Either party can end it at any time by written notice; the Principal can also revoke it in its ComplianceGrid dashboard. Ending it does not affect filings made before the notice, and each party's duty to keep records continues.
9. Fees and liability
Fees and each party's liability are governed by the Principal's agreement with the Agent (the ComplianceGrid Terms of Service or an order form). This document does not change them.
10. Governing law
The law of the State of governs this authorization, except that federal law governs the filing of EEI.
